Terms & Conditions: 15% Lifetime Revenue Share Plan

These Terms & Conditions govern the Seller Snap Affiliate Program’s 15% lifetime revenue share plan, under which Affiliates earn a recurring Referral Fee Reward equal to 15% of the revenue Seller Snap receives from each approved Referral, for as long as that Referral remains a paying customer.

This plan is separate from any other Seller Snap affiliate program (including the one-time payment plan and any other program that may be introduced in the future); those programs are governed by their own separate terms. An Affiliate may participate in only one plan at a time. Referrals are credited under the plan that applies to the Affiliate at the time the Referral is approved, and moving between plans is not retroactive.

By registering for, or participating in, the Seller Snap Affiliate Program you accept these Terms & Conditions. If you do not accept them, do not register and do not promote an affiliate link.

Definitions

1.Referral: a person or business that reaches Seller Snap through your unique affiliate link and subscribes to a paid Seller Snap plan.

2.Approved Referral: a Referral that has been automatically tracked and attributed to you by our systems, and that we have verified as a valid, first-time paying customer. We will approve or reject a Referral within 30 days of their first payment and will notify you of any rejection, with the reason, through your affiliate dashboard. Approval will not be unreasonably delayed.

3.Net Revenue: the amount Seller Snap actually receives from an Approved Referral for a subscription payment, after any discounts, credits, refunds and chargebacks, and excluding taxes (such as VAT or sales tax).

4.Referral Fee Reward: 15% of the Net Revenue of each payment made by an Approved Referral.

5.Continuing Rewards: Referral Fee Rewards that continue to be payable to you on your existing Approved Referrals after your participation in the Affiliate Program ends — see “Term, Termination & Changes”.

6.Lifetime: for as long as the Approved Referral remains a paying Seller Snap subscriber on the account created through your referral link. Your right to Referral Fee Rewards on an Approved Referral does not depend on your continued promotion of Seller Snap and continues after you leave the Affiliate Program, except where we terminate your participation for cause — see “Term, Termination & Changes”.

Eligibility

1.You must be at least 18 years old and legally able to enter into a binding contract.

2.You must not be an employee or contractor of Seller Snap, or of any company we own or control.

3.You must not be located in, or promoting into, any territory subject to sanctions or trade restrictions that would make your participation unlawful.

4.We may approve or decline any application to the Affiliate Program at our discretion.

Referral Links & Promotion

1.Once you have registered for the Seller Snap Affiliate Program, you will be provided with a unique link that must be used to identify you when placing a link from your site, email, or other communications to the Seller Snap website.

2.Seller Snap provides graphical images and other resources that can be used when promoting your offer. You may not modify these images in any way.

3.You may not use our name, graphics or any other assets in any bulk email whatsoever unless we have given our advance written consent.

4.You may not in any manner misrepresent or embellish the relationship between us and you, say you develop our Services, say you are part of Seller Snap, or express or imply any relationship between us and you or any other person or entity.

5.You may not refer yourself, any account you own or control, any business you are employed by or hold an interest in, or any member of your immediate family. Self-referrals and referrals made on behalf of an existing Seller Snap customer will not be approved.

6.You may not promote your link through coupon, deal, cashback or discount code sites, browser extensions, toolbars, or any form of cookie stuffing or forced click, unless we have given our advance written consent.

7.You may not offer any cash, rebate, gift, prize or other incentive to a person in exchange for signing up through your affiliate link, unless we have given our advance written consent.

8.Your promotional content must be accurate. You may not guarantee results, publish income or revenue claims on behalf of Seller Snap, quote pricing or discounts we have not published, or make claims about our features, performance or roadmap that we have not confirmed in writing.

9.You may not register domain names, social media handles, or app listings that include our name or brand, and you may not create content designed to appear as an official Seller Snap channel.

Paid advertising and brand bidding.

10.You may not bid on “Seller Snap”, our product names, or any variation, abbreviation or misspelling of them as keywords in any paid search or paid social campaign, and you may not use them in the display URL, headline or visible ad copy of any paid advertisement.

11.You may not link directly from a paid advertisement to the Seller Snap website using your affiliate link, and you may not run any advertisement that could reasonably be mistaken for an official Seller Snap advertisement.

12.Paid promotion of your own content — for example promoting your own video, newsletter, article or webinar that features Seller Snap — is permitted. We may ask you to provide the ad creative, landing page and targeting for review at any time, and may require you to stop a campaign that breaches this section.

Disclosure.

13.You must clearly and conspicuously disclose, in each piece of content and in each placement where you use your affiliate link, that you receive compensation from Seller Snap for referrals. The disclosure must be unavoidable — placed in the content itself rather than only in a description, bio, footer or linked page — and must appear in the same language and format as the content it relates to.

14.You are responsible for complying with the FTC Endorsement Guides (16 CFR Part 255) and any equivalent endorsement, advertising or disclosure rules in the territories where you operate.

Placements and platform rules.

15.You may not promote your affiliate link on, or through, any website or channel that contains or promotes adult content, illegal activity, hate speech, harassment, violence, pirated or counterfeit goods, or the infringement of any third party’s rights, or that is directed primarily at children.

16.You must comply with the terms of service and the advertising and affiliate rules of any third-party platform you use, including marketplaces, seller communities, forums, social platforms and messaging groups.

Data protection and electronic marketing.

17.You act as an independent data controller in relation to any personal data you collect or process for your own marketing. You are responsible for establishing your own lawful basis for that processing, for honouring opt-outs and data subject requests, and for keeping appropriate records.

18.You must comply with all applicable data protection laws (including the GDPR and UK GDPR) and all applicable electronic marketing and anti-spam laws (including CAN-SPAM, PECR and the ePrivacy rules) in the territories where you operate.

19.You may not transfer personal data to Seller Snap other than through your affiliate link and our standard tracking.

Referral Attribution & Tracking

1.We will only pay Referral Fee Rewards on links that are automatically tracked and reported by our systems. Our tracking records are the definitive record of attribution, absent manifest error.

2.Attribution operates on a 90 day cookie window from the click on your affiliate link. If the Referral subscribes within that window, the Referral is attributed to you.

3.Where more than one Affiliate link has been clicked within the attribution window, the most recent click before subscription receives the credit.

4.You will not be rewarded with any Referral Fee Rewards for any Referrals that have previously subscribed to Seller Snap.

5.If your Referral is an existing lead in our system but is not subscribed to Seller Snap, you will be rewarded for the Referral. This does not apply where, at the time of the click, the person or business is an active opportunity in Seller Snap’s sales pipeline or has been in contact with our sales team within the preceding 90 days; those Referrals will not be approved.

6.Referral Fee Rewards are tied to the specific customer account created through your link. If that customer later opens a new, separate account, payments on the new account are not attributed to you unless we agree otherwise in writing.

7.A summary of approved Referrals, the payments received from them, and a statement of Referral Fee Rewards is available to you by logging into your affiliate account or dashboard.

Referral Fee Rewards: Revenue Share

1.You will earn a Referral Fee Reward of 15% of the Net Revenue of every subscription payment Seller Snap receives from your Approved Referral, for the lifetime of that subscription.

2.Monthly subscriptions: you earn 15% of each monthly payment, recurring every month for as long as the Referral continues to pay.

3.Annual and other upfront subscriptions: you earn 15% of the full amount paid, at the time that payment is received. That reward is paid once on that payment, and again on each subsequent renewal payment.

4.There is no cap on the Referral Fee Reward you can earn from a Referral, and no cap on total earnings.

5.Referral Fee Rewards are calculated on the amount we actually receive, not on list price. If a Referral is on a discounted rate, promotional price, or credit, the 15% applies to the discounted amount received.

6.If a Referral upgrades or downgrades their plan, your Referral Fee Reward automatically adjusts to 15% of the new amount received from the next payment onward.

7.Referral Fee Rewards are payable on subscription revenue. Where a Referral adds seats, users, or any other paid add-on that increases their recurring subscription amount, your Referral Fee Reward adjusts to 15% of the new amount from the next payment onward. Any non-subscription charge we may introduce in future — such as a one-off setup, migration or professional services fee — is excluded unless we confirm otherwise in writing.

8.If a Referral cancels their subscription, Referral Fee Rewards stop with their final payment. If the same Referral resubscribes on the same account within 90 days, Referral Fee Rewards resume. After that period, a resubscription is treated as a returning customer and does not earn Referral Fee Rewards.

9.If a Referral pauses their subscription, Referral Fee Rewards pause for that period and resume when billing resumes.

10.Seller Snap reserves the right to disqualify Referral Fee Rewards earned through fraudulent, illegal, or overly aggressive or questionable sales or marketing methods, including any Referral Fee Rewards resulting from promotion in breach of these Terms.

11.We may change the Referral Fee Reward percentage on notice — see “Term, Termination & Changes”.

Worked examples.

The figures below are illustrative only. They show how the 15% is calculated; they do not describe our current plans or prices, which change from time to time.

The 15% applies to whatever amount we actually receive, whatever the plan, plan name or billing frequency in place at the time.

Referral Fee Rewards: Payments

1.Payment date. We run a single payout for all Affiliates by the 10th of each month, or on the next business day where the 10th falls on a weekend or public holiday.

2.What is included. Each payout covers all Referral Fee Rewards on payments received from your Approved Referrals during the previous calendar month, less any adjustments under “Refunds, Chargebacks & Adjustments”. A payment is “received” when it has settled in cleared funds into Seller Snap’s account; a payment initiated in one month that settles in the next falls into the later month’s payout.

3.Statement. A statement will be available in your affiliate dashboard on or before each payment date, showing the Approved Referrals, the payments received from them, the Referral Fee Rewards due, any adjustments applied, and any balance carried forward.

4.Minimum payout threshold. Where your balance on a payment date is below US$100, it rolls forward to the next payout. We will pay any accrued balance at least once every 12 months regardless of the threshold, and will pay any remaining balance when your account is closed.

5.Adjustments after payment. Where an adjustment event occurs after a Referral Fee Reward has been paid, the reversal is applied to your next payout. Where a reversal exceeds the rewards due that month, the negative balance carries forward — see “Refunds, Chargebacks & Adjustments”.

6.Method and currency. Referral Fee Rewards are paid via PayPal. You must have a valid PayPal account to receive Referral Fee Rewards, as we do not offer payment via cheque, credit card, cash, or other methods. We may add or change payment providers on notice to you. All amounts are stated and paid in US Dollars, and any currency conversion or transfer fees charged by your payment provider are your responsibility.

7.Payout details. It is your responsibility to keep your payout details accurate and current. We are not liable for rewards sent to an incorrect PayPal address that you supplied.

8.Tax documentation. Before we make your first payout, and at any time on reasonable request afterwards, you must provide valid tax documentation (such as a Form W-9 or W-8BEN) and any other information we reasonably require to make payment lawfully. We may withhold payment until that documentation is provided, and may withhold or deduct any amount we are required by law to withhold.

9.Taxes. Referral Fee Rewards are inclusive of any VAT, GST or similar tax chargeable by you. You are responsible for reporting and paying any taxes due on your Referral Fee Rewards in your own jurisdiction.

10.Queries. If you believe a Referral Fee Reward has been calculated or paid incorrectly, you must notify us within 90 days of the statement date to which it relates. After that, the statement in your dashboard is treated as final.

11.Delay outside our control. If a payout is delayed by a payment provider outage or a similar event beyond our reasonable control, we will make it on the next practicable date.

12.Account closure for inactivity. If your affiliate account has no Approved Referrals, no active paying Referrals and no Continuing Rewards payable for 12 consecutive months, we may close the account on 30 days’ written notice. Any rewards already earned will be paid out before closure.

Refunds, Chargebacks & Adjustments

1.Because Referral Fee Rewards are paid on revenue actually received, any event that reverses or reduces that revenue also reverses or reduces the corresponding reward.

2.No Referral Fee Reward is payable on any payment that is refunded to the customer, for any reason. This applies whether the refund is issued at the customer’s request, at our discretion, as a goodwill credit, or as the result of a dispute, and whether it is issued before or after the reward has been paid to you.

3.An adjustment event includes a full or partial refund, a chargeback or payment reversal, a disputed payment, a failed or uncollected payment, a credit issued to the customer, or any amount written off as bad debt.

4.Where a payment is refunded in full, the Referral Fee Reward on that payment is reversed in full. Where a payment is partially refunded or credited, the reward is recalculated as 15% of the amount ultimately retained by Seller Snap.

5.A Referral refunded in full within 30 days of their first payment is treated as never having been approved, and no Referral Fee Reward is due.

6.Reversed amounts are deducted from your next payout. If your balance is insufficient, the negative balance carries forward against future rewards. If your balance remains negative for 90 days, or you leave the program with a negative balance, we may invoice you and the amount becomes payable within 30 days. We may charge interest on overdue amounts at 2% per year above the prevailing base rate, and recover the reasonable costs of collection.

7.Seller Snap sets and applies its own refund policy for customers at its sole discretion. Affiliates have no right of approval over a refund decision and no claim to Referral Fee Rewards on revenue that has been refunded.

8.Where a payment is subject to an unresolved dispute or chargeback, we may withhold the associated Referral Fee Reward until the dispute is resolved, for up to 60 days. If we recover the payment, the reward is released on the next payout cycle.

9.Where a customer account is settled or renegotiated at a reduced amount, the 15% applies to the settled amount actually received.

10.We may audit and recalculate Referral Fee Rewards for up to 12 months from the date of payout where an error, tracking fault, refund, or fraudulent activity is identified, and adjust future payouts accordingly.

11.Where a Referral shows an abnormal refund or chargeback pattern, we may suspend further Referral Fee Rewards on that Referral pending investigation and, if abuse is confirmed, disqualify the Referral entirely.

Risk, Liability & Indemnity

1.No guaranteed earnings. The Affiliate Program is provided on an “as is” basis. Seller Snap makes no representation or guarantee as to the number of Referrals you will generate, the conversion rate of your traffic, the amount you will earn, or how long any Referral will remain a paying customer. Earnings figures shared by us or by other Affiliates are illustrative only.

2.Your costs are your own. You are solely responsible for the cost of producing and distributing your promotional content, including content production, hosting, software, advertising and staff. Seller Snap does not reimburse these costs and they are not recoverable against Referral Fee Rewards.

3.Product and pricing changes. We may change our pricing, plans, packaging, discounting, features or availability at any time. Such changes may increase or decrease your Referral Fee Rewards. You are not entitled to compensation for any reduction in earnings resulting from a change to our products, pricing or business.

4.Tracking limitations. Attribution depends on cookies and tracking technology that can be blocked, cleared, or disabled by the end user, their browser, their device, or third party software. Seller Snap is not liable for Referrals that are not tracked for these reasons, and no reward is payable on an untracked Referral.

5.Limitation of liability. To the fullest extent permitted by law, Seller Snap is not liable for any indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost data or loss of goodwill, arising from your participation in the Affiliate Program. Our total aggregate liability to you for any claim is limited to the greater of (a) the total Referral Fee Rewards paid to you in the 12 months immediately preceding the event giving rise to the claim and (b) US$1,000.

6.Liabilities that cannot be excluded. Nothing in these Terms limits or excludes the liability of either party for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited or excluded.

7.Indemnity. You will indemnify and hold harmless Seller Snap, its officers, employees and agents against any claim, loss, damage, fine or expense (including reasonable legal fees) arising from your promotional activity, your content, any misrepresentation you make about Seller Snap, your breach of these Terms, or your breach of any law or third party right. This indemnity covers both third party claims and losses we suffer directly, and is not subject to the limitation of liability above.

8.Account security. You are responsible for keeping your affiliate account credentials secure and for all activity carried out under your account. Notify us immediately if you suspect unauthorised access.

9.Fraud and abuse. The following are prohibited and will result in forfeiture of all unpaid rewards and immediate termination: self-referrals or referrals of accounts you own or control, creating fake or duplicate accounts, cookie stuffing or forced clicks, misrepresenting Seller Snap or its pricing, incentivising signups without our written consent, trademark or domain infringement, and any attempt to manipulate tracking. We may also recover amounts already paid to you in connection with such activity.

10.Suspension pending investigation. We may suspend your account and withhold payouts for up to 60 days while we investigate suspected fraud, abuse, or a breach of these Terms. If no breach is found, withheld rewards are released on the next payout cycle.

11.Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including outages, payment provider failures, changes in law, or acts of a third party platform.

Term, Termination & Changes

1.Term. These Terms apply from the date we approve your application to the Affiliate Program and continue until your participation is terminated under this section.

2.Termination by you. You may leave the Affiliate Program at any time, for any reason, by written notice to us. Your withdrawal takes effect when we receive that notice.

3.Termination by us for convenience. We may terminate your participation at any time, for any reason, on 30 days’ written notice.

4.Termination by us for cause. We may terminate your participation immediately on written notice if you: (a) breach these Terms and, where the breach is capable of being remedied, fail to remedy it within 14 days of us asking you to; (b) engage in fraud or in any activity prohibited under “Fraud and abuse”; (c) misrepresent Seller Snap, our products or pricing, or your relationship with us; (d) breach any law or any third party’s rights in connection with your promotion; or (e) cease to meet the requirements set out under “Eligibility”, including becoming subject to sanctions or trade restrictions.

5.What stops on termination. From the effective date of termination, however it arises: you must stop promoting Seller Snap and using your affiliate link; we will deactivate your link; and no new Referral will be attributed to you.

6.Continuing Rewards — what does not stop. Where your participation ends for any reason other than termination for cause under clause 4, you continue to earn Referral Fee Rewards on every Referral approved before the effective date of termination, for as long as that Referral remains a paying Seller Snap customer on the account created through your referral link (“Continuing Rewards”). Continuing Rewards are calculated, adjusted, withheld, reversed and paid on exactly the same basis as they were while you were an active participant, including the treatment of upgrades, downgrades, added seats and add-ons, pauses, resubscriptions, refunds, chargebacks and other adjustment events. This applies whether you left the Affiliate Program voluntarily or we terminated your participation for convenience under clause 3.

7.Conditions of Continuing Rewards. Continuing Rewards remain payable for as long as you: (a) keep valid and current payout details on file with us, and provide any tax documentation we reasonably require; (b) comply with your surviving obligations under these Terms, including confidentiality, intellectual property and the post-termination obligations in clause 13; and (c) do not solicit or encourage any of your Approved Referrals to cancel their Seller Snap subscription or to move to a competing product. If you breach any of these, we may end Continuing Rewards on written notice. Where the conduct would have been grounds for termination for cause under clause 4, clause 8 applies instead.

8.Access and payment of Continuing Rewards. We will keep your affiliate dashboard available to you on a read-only basis for as long as Continuing Rewards are payable, so that you can see the Referrals, payments and rewards they relate to. If we are unable to pay you because your payout details are invalid or out of date, and you do not supply valid details within 12 months of us notifying you at the last email address on your account, your entitlement to further Continuing Rewards lapses.

9.Termination for cause — forfeiture. If we terminate your participation for cause under clause 4, all unpaid Referral Fee Rewards are forfeited, no Continuing Rewards are payable, and no further rewards accrue. This is in addition to our right to recover amounts already paid to you in connection with fraud or abuse of the program.

10.Suspension. Nothing in this section limits our right to suspend your account and withhold payouts while we investigate suspected fraud, abuse or breach — see “Suspension pending investigation”. If we conclude that no breach occurred, your participation continues and any withheld rewards are released on the next payout cycle.

11.Discontinuing the plan. We may discontinue the 15% lifetime revenue share plan on at least 60 days’ written notice. On expiry of that notice, no new Referrals will be approved under this plan. Referral Fee Rewards on Referrals approved before the end of the notice period continue on the terms of this section, for as long as those Referrals remain paying Seller Snap customers, unless we offer you a place on a replacement plan on terms that, taken as a whole, are no less favourable and you accept that offer.

12.Changes to the reward structure. We may change the Referral Fee Reward percentage on at least 30 days’ written notice. Any such change applies only to payments received after the notice period ends. Any change to the Referral Fee Reward percentage applies equally to active Affiliates and to Continuing Rewards, and we will not reduce the percentage applied to your Continuing Rewards below the percentage applied to Affiliates who remain active on this plan.

13.Changes to these Terms. We may update these Terms & Conditions. Material changes will be notified to you by email or through your affiliate dashboard and take effect 30 days after notice. If you continue to promote your affiliate link after that date — or, where you are receiving Continuing Rewards, do not object in writing before that date — you accept the updated Terms. No change to these Terms will remove or reduce Referral Fee Rewards that have already accrued on payments received before the change takes effect, and no change will end or reduce Continuing Rewards on Referrals approved before the change takes effect, except as expressly permitted by clause 11 or clause 12. If a material change is unacceptable to you, you may leave the Affiliate Program under clause 2, and clause 6 will apply to your existing Approved Referrals.

14.Post-termination obligations. Within 14 days of the effective date of termination you must remove all Seller Snap branding, logos, marketing assets and affiliate links from your website, channels and content, and stop describing yourself as a Seller Snap affiliate or partner. The licence granted to you under “Intellectual property” ends on termination.

15.Successors. We may assign or transfer these Terms, including our obligation to pay Continuing Rewards, to a successor in connection with a merger, acquisition or sale of all or substantially all of our business, and that successor will be bound by this section. You may not assign or transfer your rights under these Terms without our written consent, which will not be unreasonably withheld.

16.Death or dissolution. If you are an individual and you die, or you are an entity and you are dissolved, Continuing Rewards remain payable to your estate or lawful successor on receipt of reasonable evidence of entitlement and valid payout details. We may instead settle the entitlement by a single lump sum payment agreed with your estate or successor.

17.Survival. The following survive termination for as long as they are capable of applying: this section; “Refunds, Chargebacks & Adjustments”, including our audit, recalculation and clawback rights; “Risk, Liability & Indemnity”; confidentiality; intellectual property; and any accrued payment obligation of either party.

18.Notices. Written notice under these Terms may be given by email — to the address on your affiliate account in the case of notice to you, and to [affiliates@sellersnap.io] in the case of notice to us — and is deemed received on the next business day after sending. We may also give notice to you through your affiliate dashboard. It is your responsibility to keep the email address on your account current.

General

1.Independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Seller Snap. You have no authority to make or accept any offers or representations on our behalf.

2.Confidentiality. Any non-public information we share with you, including conversion data, pricing, roadmap information and program performance, is confidential and may not be disclosed without our written consent. This does not apply to information that is or becomes public through no fault of yours, that you already lawfully held, that you independently develop without reference to our information, or that you are required to disclose by law or by a regulator — in which case you will tell us first, where you are lawfully able to. This obligation continues for three years after your participation ends.

3.No exclusivity. These Terms do not grant you any exclusive right or territory, and we may run other affiliate, partner or referral arrangements at the same time.

4.Intellectual property. All Seller Snap trademarks, logos and materials remain our property. You are granted a limited, revocable, non-exclusive licence to use approved assets solely to promote Seller Snap under these Terms.

5.Governing law and jurisdiction. These Terms are governed by the laws of North Carolina, and the courts of North Carolina have exclusive jurisdiction over any dispute arising out of or in connection with them. Where the amount in dispute is less than US$10,000, both parties will first attempt in good faith to resolve it by written correspondence for at least 30 days before commencing proceedings.

6.No waiver. A failure or delay by either party in enforcing any provision of these Terms is not a waiver of that provision or of any other provision.

7.Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

8.Entire agreement. These Terms are the entire agreement between you and Seller Snap in relation to the 15% lifetime revenue share plan and replace any earlier understanding on the subject. Nothing in this clause limits liability for fraudulent misrepresentation.
